Dual use appointment.

Appointments made by annual Council for four years.

Clause 11 of the Memorandum and Articles of Association of GVC Leisure Limited states:

"(i) in consideration of the use from time to time of facilities made available by Gamlingay Village College some part of such facilities having been provided with the assistance of funds granted by South Cambridgeshire District Council the said South Cambridgeshire District Council shall be entitled to nominate as a director of the Company any person (hereinafter referred to as "the Council Nominated Director") approved by the Directors of the Company (whose approval shall not be unreasonably withheld) and to remove from office any person so appointed and (subject to such approval) to appoint another person in his place. The entitlement of the said South Cambridgeshire District Council to so nominate a director of the Company shall not arise if and so long as there is

- either a serving director of the Company who is also concurrently a serving member of the said Council

- or a serving Governor of Gamlingay Village College who is also concurrently a serving member of the said Council."
